License Grant.
Subject to the terms and conditions of this License Agreement, Institution hereby grants Licensee an exclusive, royalty-bearing right and license, including the right to grant sublicenses:
(a) to use and practise the Licensed Technology in the Field of Use and Territory, including without limitation the right to use, copy, modify, distribute, make derivative works of and otherwise exploit the Licensed Technology; and (b) under the Licensed Technology (including, without limitation, the Licensed Patents) to make, use, sell, distribute, deliver, offer to sell, import, export and practise products and processes in the Field of Use and Territory and to have such rights exercised on Licensee’s behalf by third parties.
Licensee’s license is exclusive even as against Institution for the purposes stated above in the Field of Use and Territory except as set out in section 3.4.
Translation - Russian 3.0 ПРЕДОСТАВЛЕНИЕ ЛИЦЕНЗИИ
Предоставление Лицензии.
В соответствии с условиями настоящего Лицензионного соглашения Учреждение настоящим предоставляет Лицензиату исключительное право и лицензию, предполагающие выплату роялти, включая право на предоставление сублицензий:
(a) с целью использования и практического применения Лицензионных технологий в Области использования и на Территории, включая, помимо прочего, право на использование, копирование, изменение, распространение, создание производных произведений на основании таковых, а также иное использование Лицензионных технологий; и (b) применительно к Лицензионным технологиями (включая, помимо прочего, Лицензионные патенты), с целью производства, использования, продажи, распространения, поставки, предложения для продажи, импорта, экспорта и практического применения продукции и процессов в Области использования и на Территории, а также с целью получения таких прав, осуществляемых третьими лицами от имени Лицензиата.
Лицензия Лицензиата является исключительной даже в отношении Учреждения для целей, указанных выше в Области использования и на Территории, за исключением условий, установленных пунктом 3.4.

Source text - Russian 2.3. Датой перехода права собственности на ценные бумаги, является дата внесения приходной записи по лицевому счету Клиента в ООО «Нижегородский Специализированный Депозитарий».
2.4. Банк гарантирует, что указанные ценные бумаги не обременены залогом и правами третьих лиц.
2.5. Клиент (либо Представитель Клиента на основании доверенности, удостоверенной нотариально) вправе обратиться в Банк в период с «__» _______ 20__ г. по «__» _______ 20__ г. с целью оформления Заявления о выкупе у него ценных бумаг, приобретенных согласно настоящему договору, при условии, что на момент обратного выкупа ценные бумаги не обременены залогом и правами третьих лиц, с предъявлением настоящего договора и документа, удостоверяющего личность (паспорта).
2.6. Заявление об обратном выкупе паев оформляется в двух экземплярах и заверяется подписью Клиента. Клиенту выдается один экземпляр Заявления с оттиском личного штампа и подписью сотрудника, принявшего Заявление.
2.7. Банк обязуется выкупить у Клиента ценные бумаги, являющиеся предметом настоящего Договора, по цене ________ рублей (_______ рубля __ копеек) за 1 пай в количестве, не более указанного в п.1.1. настоящего Договора в течение 3 (трех) рабочих дней со дня получения от Клиента заявления об обратном выкупе, при соблюдении условия, установленного п. 2.5. настоящего Договора. Обратный выкуп паев осуществляется путем заключения отдельного договора купли-продажи ценных бумаг.
2.8. Доход от продажи ценных бумаг подлежит налогообложению в соответствии с Налоговым Кодексом РФ.
Translation - English 2.3 The date, on which the title to securities shall be transferred, shall be deemed to be the date, on which the credit entry shall be recorded for the personal account of the Customer with Nizhny Novgorod Special Depositary LLC.
2.4 The Bank shall guarantee that the above securities are not encumbered with a charge or rights of third parties.
2.5 The Customer (or a representative of the Customer, acting on the basis of the notarized power of attorney) shall have the right to apply to the Bank from __________ 20__ till _________ 20 in order to issue the Securities Repurchase Application from the Customer concerning the securities, purchased hereunder, provided that the securities shall not be encumbered with a charge or rights of third parties as of the repurchase, provided that the Customer submits this Contract and the identification document (passport).
2.6 The Share Repurchase Application shall be made in two copies and certified by the signature of the Customer. The Customer shall be provided with one copy of the Application, containing the impression of the personal stamp and the signature of the employee that accepted the Application.
2.7 The bank shall purchase from the Customer the securities, being the subject of this Contract, at the price of ______ rubles (_____ rubles __ kopecks) per 1 share in the amount that does not exceed the one, set forth by Clause 1.1 of this Contract within three (3) business days from the receipt from the Customer of the Repurchase Application, subject to Clause 2.5 of this Contract. The shares shall be repurchased subject to concluding a separate securities purchase contract.
2.8 The profits, derived from the sale of securities, shall be taxed in accordance with the Tax Code of the Russian Federation.
