l 3. Option.
The Licensor grants the Licensee en exclusive option (the "Option") to be granted the right to produce a second Season of Series of minimum sixty (60) daily episodes of the Series (such option hereinafter referred to ~ the "Second Season Option") under the same terms and conditions!. agreed herein with exceptíon of the License Fee. This Option must be exercised in writing by the Licensee on or before 3 (three) months following the broadcast of last episode of the previous season, such duration being monthly renewable up to 6, months following broadcast of last episode of the previous season. The total amount for’ this Option of Second Season Series will be paid by Licensee as in clause 11. line 4 of these Special Conditions by wire transfer to the account specified 4.2 of the General Conditions.
14. Merchandising
Ancillary Right•
and licensor grants Licensee the right to exploit Ancillary, Merchandising, Call and Interactive~ exploitation Rights.
Licensee shall be entitled to retain • 30 %, distribution commission including cross on the
Gross Revenues collected by Licensee from such distribution:
Then, 50 % of the Net Revenues collected by Licensee in respect of the exercise of the
Ancillary and Merchandising exploitation will be remitted to Licensor. Call applications (PRTS) shall be excluded from such share of revenue..
Interactive exploitation share of revenue shall be negotiated in good faith between the parties within a separate agreement,
Licensee will send Licensor biannually reports detailing Ancillary and Merchandising
activities.
Translation - Spanish 13. Opción: El Licenciante garantiza al Licenciatario la opción exclusiva (en adelante la “Opción”) para el otorgamiento del derecho a producir una segunda Temporada de la Serie de como mínimo sesenta (60) episodios diarios (en adelante “Opción de la Segunda Temporada de la Serie”) conforme los mismos términos y condiciones acordados en el presente contrato con excepción de la Contraprestación por la Licencia. La Contraprestación por la licencia para la Segunda Temporada de la Serie se incrementará a U$S 5.250 (cinco mil doscientos cincuenta dólares estadounidenses) por episodio diario. El Licenciatario deberá ejercer esta opción por escrito con antelación o dentro de los 3 (tres) meses subsiguientes a la difusión del último episodio de la temporada anterior, esa duración estará sujeta a renovación mensual hasta 6 meses posteriores a la difusión del último episodio de la temporada anterior. 14. Derechos de Comercialización y Accesorios: El Licenciante otorga al Licenciatario derecho a explotar los derechos Accesorios, de Comercialización, de Llamado y de Explotación Interactiva. Los mencionados derechos se definen en la cláusula 5 de las Condiciones generales. //////////////////////////////////////////////////////////////////////////////////////////////////
El Licenciatario estará facultado a retener una comisión por distribución del 30% que incluya los costos por Ingresos Brutos recaudados por el Licenciatario producto de la distribución.//////////////////////////////////////////////////////////////////////////////////////////////////////////////////
