Source text - English Article 4 – Compensation, invoicing and payment terms
4.1 Determination of the chargeable amount of Function Services
The Beneficiary shall pay the Service Provider an amount computed according to the calculation method detailed in the Supporting Documentation, which shall be available to the Beneficiaryat any time. The compensation shall be based on the costs incurred by the Service Provider in relation to the provision of theFunction Services to the Beneficiaries.
The amount of Function Services rendered by the Service Provider to the Beneficiary will be determined on the basis of the accounting documents of the Service Providerand in conformity with the arm’s length standard as defined by the OECD Transfer Pricing Guidelines and any relevant tax law and practice applying to either of the Parties.
According to this method of calculation, the Service Providerundertakes and agrees not to chargeShareholder Costs to the Solvay Entities.
4.2 Mark-up
Pursuant to the OECD Transfer Pricing Guidelines, the Service Providershall apply a mark-up on the costs of the Function Services provided to the Beneficiary.
For the accounting period ending on 31 December 2013, the mark-up will be 5%and this will remain in force for later accounting periods unless otherwise agreed in writing between the parties by reference to external comparables in accordance with the guidance given in the OECD Transfer Pricing Guidelines and/or local regulations existing at the date of amending the mark-up.
The mark-up will be applied to thetotal costs of the Function Services incurred by the Service Provider except it will not be applied to:
o sub-contractor costs, consultancy costs and any other similar fee or cost invoiced to the Service Provider by a third-party specifically and directly in relation to the provision of the service; and
o 与所提供的服务专门或直接相关的第三方向服务提供方开具的分包商成本，咨询费或其它类似费用或成本的发票。

Source text - English The attached Complaint is being filed against you with the National Arbitration Forum (the “Forum”) pursuant to the Uniform Domain Name Dispute Resolution Policy (the “Policy”) adopted by the Internet Corporation for Assigned Names and Numbers (“ICANN”) on October 24, 1999 and incorporated in the Domain Name Registration Agreement (the “Registration Agreement”) with the Registrar of your domain names. The Parties shall use Confidential Information only for the above stated Purpose, unless otherwise agreed by further written agreement of the Parties, and shall keep confidential and not disclose Confidential Information to any other person, firm or corporation for a period of five (5) years from the date of disclosure, except to the extent that any Confidential Information is (a) already in the possession of the receiving party or its subsidiaries; (b) independently developed by the receiving party; (c) publicly disclosed by the disclosing party; (d) rightfully received by the receiving party from a third party; (e) approved for release by written agreement with the disclosing party; (f) available by the inspection of products marketed or offered for sale by either party hereto or others in the ordinary course of business; (g) disclosed pursuant to the requirement or request of a governmental agency or third party to the extent such disclosure is required by operation of law, regulation or court order provided receiving party promptly notifies disclosing party of such occurrence and allows disclosing party to pursue, at its own expense all available legal actions to prevent or limit disclosure.
3. All Confidential Information disclosed shall remain the property of the disclosing party. No licenses or rights under any patent, copyright trademark, or trade secret are granted or are to be implied by this Agreement. Neither Party is obligated hereunder to purchase from or provide to the other Party any service or product.
4. The Parties provide all information on an “as-is” basis and make no warranty, either express or implied, concerning the information including, without limitation, its accuracy or completeness.
5. Each of the Parties agrees to restrict circulation of Confidential Information within its own organization to those employees who need to receive Confidential Information in order to carry out the Purpose and to give such employees instructions to hold in confidence all Confidential Information made available to them and to use Confidential Information only for such Purpose.
Translation - English Ⅱ. Significant Accounting Policies Summary
The Company utilizes the following main accounting policies in preparation of annual accounting statements:
1. Accounting System
The Company complies with Accounting Standards for Business Enterprises and with Accounting System for Business Enterprises as well as its relevant regulations.
2. Accounting Period
The accounting year of the Company is from 1 January to 31 December of the same year.
3. Converting Method of Foreign Currency
The Company uses Renminbi as bookkeeping currency. The businesses denominated in any foreign currency which occur within the accounting period are recorded in Renminbi converted at exchange rate at the beginning of the month in which the businesses occur. On the balance sheet date, the monetary items denominated in any foreign currency are converted into Renminbi at the exchange rate on the balance sheet date. Foreign exchange gains or losses are recognized in gains and losses of the period.
4. Valuation Methods for Inventories
The inventories are valuated at the actual cost when acquiring, and valuated with the weighted average method when sending out. The value of ending inventories is measured with the method of “Lower of Cost or Realizable Net Value”
5. Long Term Equity Investment
1). The initial investment cost evaluation: the amount and the relevant taxes and surcharges paid are recognized as the initial investment cost.
2). The subsequent evaluation: for the equity not less than 20% of the invested company, equity method is used. For equity less than 20% of the invested company, cost method is used.
6. Fixed Assets and Depreciation
1). Fixed assets represent production materials with price more than 2,000 RMB and the useful life over 1 year.
2). The fixed assets are entered into the book as at the actual cost when obtaining. At the end of the period, the fixed assets are measured at book value or recoverable amount, whichever is lower.
3). The depreciation of fixed assets is calculated with the straight-line method, with the residual value rate 10%, the estimated useful life and depreciation rates for kinds of fixed assets are as follows:
