Source text - French ENTENTE DE GESTION
[28] Cette entente entre l’Université et les chercheurs est relative à la propriété intellectuelle reliée à l’Invention. Les chercheurs, qui y sont désignés comme les Inventeurs, déclarent que l’Invention a été réalisée conjointement par eux dans le cadre d’activités de recherche financées par GC Harland, qu'ils souhaitent que l’Université dépose une demande de brevet afin d’assurer une protection intellectuelle minimale de
l’Invention, que celle-ci constitue une invention institutionnelle selon le règlement de l’Université relatif au brevet d’invention du personnel universitaire dans le cas de Beaudoin, alors que dans le cas de Martin, celle-ci demande que la gestion de la propriété intellectuelle se fasse par l’Université conformément au règlement applicable au personnel universitaire. Les chercheurs y précisent le partage qu'ils acceptent de faire entre eux (90 % à Beaudoin et 10 % à Martin)

accepte de remettre à ses chercheurs, soit 50 % des montants qu'elle recevra dans le
cadre de la commercialisation.
[29] À l’article 3, Beaudoin reconnaît que l’Université possède seule tous les droits à
la propriété intellectuelle de l’Invention. À l’article 4, Martin, une étudiante graduée et
non une professeure, cède sur une base volontaire à l’Université tous ses droits et titres
dans la propriété intellectuelle relative à l’Invention.
[30] Les dispositions les plus pertinentes de cette entente sont les articles 5 et 6 :
5. Il est entendu que les Inventeurs reconnaissent à l’Université le droit
exclusif de la gestion des activités de protection intellectuelle, de mise en
valeur et de transfert de l’Invention afin d’établir toute entente avec des
tiers visant l’exploitation industrielle et/ou commerciale optimale de
l’Invention. Il est convenu que l’Université consultera, le cas échéant, les
Inventeurs dans le cadre de cesdites activités et les Inventeurs s’engagent
à collaborer pour appuyer les démarches de l’Université concernant la
protection et la valorisation de l’Invention.
6. Il est entendu que l’Université, fera tout effort raisonnable pour obtenir une
protection intellectuelle adéquate de l’Invention et la valoriser. Elle ne peut
cependant garantir le succès de ses démarches, ni garantir qu’il y aura des
retombées financières significatives qui en découleront.
CONTRAT DE LICENCE
[31] Quelques mois après que la Phase 1 du projet de recherche eut été terminée,
l’Université et GC Harland signent le Contrat de licence. Il importe de répéter que la
Phase 2 du projet de recherche ne sera pas réalisée avec l’assistance de l’Université,
de son personnel et de ses équipements, mais bien avec l’assistance CRIQ de son
personnel et de ses équipements.
[32] L’article 2 du contrat définit certains termes, dont l’Invention comme étant « les
technologies et procédés développés et détenus par l’Université dans le cadre de la
recherche faisant l’objet du Protocole d’entente pourvu qu’ils concernent l’huile de Krill
et/ou de Calanus et/ou de crustacés ». On ajoute que ces technologies et procédés font
partie de la demande de brevet canadien numéro 2,251,265 et de la demande de
brevet déposée au World Intellectual Property Organization en vertu du Patent
Cooperation Treaty publiée le 27 avril 2000 sous le numéro WO 00/23546.
[33] L’article 2.1.5 précise que le savoir-faire désigne « en relation avec l’Invention,
l’expertise de l’Université, toute information, tous les renseignements techniques, toutes
les procédures, tous les procédés, toutes les formules, tous les plans et devis...
développés ou utilisés par l’Université se rapportant à la conception, le développement,
l’exploitation, la commercialisation, la réalisation et l’amélioration de l’Invention, le tout

en date des présentes ». En d’autres mots, le savoir-faire ne comprend pas les
procédures, les procédés, les plans et devis, les spécifications, les guides de
production, etc. développés par le CRIQ à la demande de GC Harland.
[34] À l’article 5.1, l’Université représente et garantit à GC Harland que les seuls
chercheurs impliqués dans le développement de l’Invention sont les chercheurs
Beaudoin et Martin et qu’elle a obtenu d’eux une cession globale, totale et irrévocable
de tous les droits qu’ils pourraient avoir sur l’Invention ou tout brevet (s'il en est).
[35] L’expression « Produits Licenciés » qui sert au calcul des redevances, désormais
à un pourcentage arrêté des ventes nettes, est définie à l’article 2.1.4 comme « l’huile
de Krill et/ou de Calanus et/ou de crustacés obtenue par l’application de l’Invention ».
[36] L’article 5.5 précise que les améliorations à l’Invention ou aux Produits Licenciés
réalisées par l’Université lui appartiendront. Par contre, l’article 5.17 mentionne que GC
Harland sera la seule et unique propriétaire de tout perfectionnement, modification ou
amélioration de l’Invention ou des Produits Licenciés réalisés par elle ou pour son
compte par des tiers. À ce titre, GC Harland pourra, sans avoir à obtenir quelque
consentement que ce soit de l’Université, faire breveter tout tel perfectionnement,
modification ou amélioration de l’Invention ou des Produits Licenciés.
[37] Finalement, l’article 2.2.5, intitulé « Préséance », confirme le maintien en vigueur
du droit d’achat de l’Invention et des brevets dont bénéficie GC Harland en vertu de
l’article 12.3 d) du Protocole de recherche.
[38] Cette convention de licence ne fait référence aux droits des chercheurs qu’en ce
qui a trait à la publication de résultats, mentionnant que toute publication de
l’information, des résultats ou données relatives à l’Invention ne peut se faire sans
l’autorisation préalable de Beaudoin.
[39] Finalement, il importe de souligner que l’article 2.1.3 reconnaît que Neptune est
liée à GC Harland. En fait, au début de mai 2001, le Contrat de licence est remplacé par
un nouveau, prenant effet le 23 février 2001, où Neptune est substituée à GC Harland
Translation - English MANAGEMENT AGREEMENT
[28] This agreement entered into between the University and researchers is in relation to intellectual property specifically, on Invention. Researchers who will be, by this agreement recognized as Inventors, acknowledge that the Invention was jointly designed by them within the framework of research activities financed by GC Harland; that they wish for the University to file for a patent application in order to protect their intellectual rights to the fullest; that it is an institutional invention in accordance with University rules governing invention patent of University staff in the case of Beaudoin, while in the case of Martin, the intellectual property shall be managed by the University in accordance with the regulation applicable to University staff. The researchers clearly state therein how they accept to share amongst them the portion that the University accepts to give the researchers (50% of the proceeds made from the marketing of the Invention) — 90% to Beaudoin and 10% to Martin.
[29] In section 3, Beaudoin acknowledges that the University is the only party that has full rights over the intellectual property of the Invention. In Section 4, Martin, a graduate student and not a professor, voluntarily hands all her intellectual property rights of the Invention to the University.
[30] The most important provisions of this agreement are Sections 5 and 6:
5. It is agreed that the Inventors acknowledge that the University has exclusive rights in the management of activities relating to intellectual property, marketing and transfer of the Invention in order to enter into an(y) agreement with a third party for optimum industrial and/or commercial exploitation of the Invention. It is agreed that the University shall consult the Inventors, when necessary, in case of any or all of the activities mentioned above and the Inventors shall collaborate to support the University policy on the protection of the Invention
6. It is agreed that the University shall make a reasonable effort to procure an adequate intellectual protection rights and value for the Invention. The University can therefore neither guarantee the success of its approach nor that there will be any substantial financial benefits from the said approach.
LICENCING AGREEMENT
[31] A few months after the end of phase 1 of the research project, GC Harland and the University signed a Licensing Agreement. It is important to emphasize that phase 2 of the research project will not be carried out with the assistance of the University, its staff or its equipment but with the assistance of CRIQ, its staff and its equipment. [32] Section 2 of the agreement defines a number of terms including the Invention which it states: “technologies and procedures developed and owned by the University within the framework of research stated in the Protocol Agreement provided they are related to oil extracted from krill and/or Calanus and/or Crustacea”. It is also stated that these technologies and procedures are part of the Canadian patent application number 2,251,265 and of the patent application filed at the World Intellectual Property Organization by virtue of Patent Cooperation Treaty published on April 27 2000 under number WO 00/23546. [33] Section 2.1.5 defines know-how as “ in relation to the Invention, University expertise, any information, technical knowledge, procedure, process, formula, plan and estimate… developed or used by the University concerning the conception, the development, the exploitation, the commercialization, the completion and the improvement of the Invention on the date of these agreements ”. In other words, know-how does not include procedures, processes plans and estimates, specifications production manuals etc outlined and drafted by CRIQ upon GC Harland’s request.
[34] In section 5.1, the University represents and guarantees GC Harland, that the only researchers involved in the process of designing the Invention are Beaudoin and Martin and that it (the University) has obtained for the researchers, a global, complete and irrevocable assignment of all rights that they could have over the Invention or all patent (if any).
[35] The expression “Licensed Products” which is used to calculate the royalties, a percentage of the net sales, is defined in section 2.1.4 as “oil from Krill and/or Calanus and/or Crustacea extracted using the Invention”.
[36] Section 5.5 stipulates that the University shall enjoy full benefit of any improvement it carries out on the Invention or Licensed Products. On the contrary, section 5.17 states that GC Harland shall be the sole beneficiary of any perfection, modification or improvement of the Invention or Licensed Product done by the latter or on its account by a third party. In this case, GC Harland can, without seeking the University’s consent, go ahead to patent any perfection, modification or improvement of the Invention or the Licensed Products.
[37] Finally, section 2.2.5 entitled “Precedence”, maintains that there are purchasing rights, of the Invention and patents from which GC Harland benefits, in accordance with section 12.3 d) of the Research Protocol.
[38] This agreement refers to the researchers’ rights only in relation to the publication of results stating that no information, result or data related to the Invention may be published without the prior authorization of Beaudoin. [39] Finally, it is important to emphasize that section 2.1.3 acknowledges that Neptune is linked to GC Harland. In fact, in May 2001, the Licensing Agreement was replaced by a new one taking effect in February 2001, in which GC Harland was substituted by Neptune.
