4.1 Стороны настоящего Соглашения несут ответственность за неисполнение или ненадлежащее исполнение обязательств в соответствии гражданским законодательством Российской Федерации.
4.2 Стороны освобождаются от ответственности за неисполнение обязательств по настоящему соглашению, если оно стало следствием обстоятельств непреодолимой силы, а именно: пожара, наводнения, землетрясения, военных действий, эпидемий, забастовок, изменения внешнеэкономической политики, делающих невыполнимыми условия настоящего Соглашения.
4.3 Сторона, для которой выполнение своих обязательств по настоящему соглашению стало невозможным, должна известить другую сторону о возникновении и окончании указанных обстоятельств в течение 5 дней. Надлежащими доказательствами для указанных обстоятельств и их продолжительности считаются документы, выданные Торгово-промышленной палатой или другим компетентным органом соответствующей страны
Translation - English 4. LIABILITIES OF THE PARTIES
4.1 The Parties hereunder shall be held liable for failure to fulfill or improper fulfillment of their obligations in accordance with the civil law of the Russian Federation.
4.2 The Parties shall not be held liable for failure to fulfill their obligations hereunder, if such failure resulted from force majeure circumstances, namely: fire, flood, earthquake, acts of war, epidemics, strikes, changes in foreign economic policy that make fulfillment of provisions hereunder impossible.
4.3. The affected party shall notify the other party on occurrence and termination of the said circumstances within 5 days. Documents issued by the Chamber of Commerce and Industry or another competent authority of the respective country shall serve as a proper evidence for the said circumstances and their duration.

Source text - English 438. As regards repudiation, the Parties refer to Chitty which states in part :
24-018 Renunciation. A renunciation of a contract occurs when one party by words or conduct evinces an intention not to perform, or expressly declares that he is or will be unable to perform, his obligations under the contract in some essential respect. The renunciation may occur before or at the time fixed for performance. An absolute refusal by one party to perform his side of the contract will entitle the other party to treat himself as discharged, as will also a clear and unambiguous assertion by one party that he will be unable to perform when the time for performance should arrive. Short of such an express refusal or declaration, however, the test is to ascertain whether the action or actions of the party in default are such as to lead a reasonable person to conclude that he no longer intends to be bound by its provisions. The renunciation is then evidenced by conduct.
Translation - Russian 438. В отношении отказа от исполнения, Стороны ссылаются на Трактат Читти, в котором, в частности, утверждается:
24-018 Отказ от договора. Отказ от договора происходит тогда, когда одна сторона в словесной форме или поведением выказывает намерение не исполнять или прямо заявляет о невозможности исполнения своих обязательств по договору в каком-либо существенном аспекте в настоящем или будущем. Отказ от договора может произойти до наступления времени исполнения либо во время, установленное для исполнения. Решительный отказ одной стороны от исполнения своих обязательств по договору, как и четко выраженное и недвусмысленное заявление одной стороны о своей невозможности исполнить договор при наступлении времени исполнения дает другой стороне право считать себя освобожденной от обязательств. Однако в отсутствии такого четко выраженного отказа или заявления необходимо определить, является ли действие (или действия) стороны, не выполнивший свои обязательства, таким, которое приведет разумного человека к заключению, что она больше не считает себя связанной его положениями. Отказ от договора в этом случае подтверждается поведением.
