Source text - English At any time prior to the expiration of three years from the date of this agreement, the Parties expressly agreed that it shall not without the prior written consent of the other Party:
a. directly or indirectly initiate, solicit, negotiate, contract or enter into any business transactions, agreements or undertakings related to the Opportunity with any third party introduced or identified by the other Party; or
b. seek to by-pass, compete, avoid or circumvent the other Party from the Opportunity by utilising any Confidential Information or by otherwise exploiting or deriving any benefit from the Confidential Information; or
c. solicit, nor accept any business in any manner related to the Opportunity from sources not their Affiliates, which sources were made available through this agreement.
Translation - French À tout moment avant l'expiration d'un délai de trois ans à compter de la date du présent accord, les Parties ont expressément convenu qu'elles se refuseront, sans le consentement écrit préalable de l'autre Partie :
a. d'entreprendre, de solliciter, de négocier, de signer ou de conclure, directement ou indirectement, des transactions commerciales, des contrats ou des activités en rapport avec l'Opportunité avec un tiers présenté ou identifié par l'autre Partie ou
b. De chercher à contourner, à concurrencer, à éviter ou à contourner l'autre Partie de l'Opportunité en utilisant des informations confidentielles ou en exploitant ou en tirant un avantage quelconque de ces informations confidentielles ou
c. De solliciter, accepter toute activité liée à l'Opportunité auprès de sources autres que leurs affiliés, lesquelles sources ont été mises à disposition dans le cadre du présent accord.
