Muy Sres. nuestros:
En referencia al Contrato de Intermediación y Asesoramiento firmado entre -------------- y XXX con fecha [●] de [●] de [●] (en adelante, “Contrato”) y como continuación a lo establecido en la cláusula 5ª de dicho Contrato, por la presente le comunicamos nuestra voluntad de rescindir el mismo, sirviendo la presente, tal y como establece dicha cláusula 5º, como comunicación previa de dicha resolución la cual se producirá, a todos los efectos, una vez transcurridos 60 días desde esta notificación.
Así mismo, tal y como establece también la cláusula 5ª del Contrato, le comunicamos que a la fecha de la presente notificación no existen negociaciones ni proyectos alguno en activo, así como tampoco pago alguno pendiente de realizar a favor de -----------. Por ello, una vez transcurrido el plazo de 60 días establecido en la cláusula 5ª del Contrato, se producirá la completa y total rescisión del mismo sin que Las Partes tengan, por lo tanto, desde entonces nada que reclamarse.
No obstante lo anterior, por la presente le recordamos que continuarán vigentes, durante 2 años a contar desde la rescisión efectiva del Contrato, las obligaciones asumidas por Las Partes en relación a la confidencialidad (cláusula 7ª) y exclusividad y no competencia (cláusula 8ª).

Translation - French NOTIFICATION DE RÉSILIATION DE CONTRAT D’INTERMÉDIATION ET DE CONSEIL
Madame, Monsieur,
Concernant le Contrat d’intermédiation et de conseil signé entre -------------- et XXX. à la date du [●] [●] [●] (ci-après, le « Contrat ») et suite à ce qui est établi dans la clause 5 de ce Contrat, nous notifions par la présente notre volonté de résilier ce dernier, la présente servant d’avis préalable à cette résiliation, comme établi dans cette clause 5e ; cette résiliation prendra effet au terme de 60 jours après cette notification, à toutes fins juridiques.
Ainsi, comme établi également dans la clause 5 du Contrat, nous déclarons qu’à la date de la présente notification, il n’existe aucune négociation ni aucun projet en cours, ni aucun paiement dû à -----------. C’est pourquoi, une fois le délai de 60 jours écoulé comme établi dans la clause 5 du Contrat, la résiliation complète et totale de ce dernier prendra effet sans que les Parties n’aient donc rien à réclamer.
Nonobstant ce qui précède, nous vous rappelons par la présente que les obligations assumées par les Parties concernant la confidentialité (clause 7), l’exclusivité et la non-concurrence (clause 8) resteront en vigueur pendant 2 ans à compter de la résiliation effective du Contrat.
