Source text - English GENERAL SALES CONDITIONS: I. Preamble. 1.1 These general sales conditions (hereinafter “General Sales Conditions”) shall govern any and all current and future agreements entered into by and between Betty
Blue S.p.A. (hereinafter “***”) and J*** (hereinafter
“Customer”) (collectively hereinafter “Parties”) as to the side by *** ana the purchase by the Customer of clothing and fashion accessories identified by the trademarks of exclusive property of *** (hereinafter “Products”) and the following resale thereof to third parties, including through e-commerce platform in accordance with Art. 10.2 hereof, except as otherwise specifically agreed in writing and accepted by ***. 1.2 In case of conflict between any other covenants between the Parties and these General Sales Conditions, the latter shall prevail, unless otherwise formally and expressly agreed by ***. 1.3 Each proposal of Products purchase submitted by the Customer to *** (hereinafter “Order”) implies fall and unreserved acceptance of these General Sales Conditions and of the “Guidelines for the on-line use of trademarks andfurther exclusive rights owned by *** S.p.A.n (hereinafter “Guidelines”) as already accepted by the Customer and attached hereto under letter A, which are an integral and essential part of these General Sales Conditions. 2. Orders and Contract Formation 2.1 Orders submitted by the Customer shall contain: (i) description of Products (item and colour code), required quantity, price; and (ii) company details of the Customer, IBAN code, method of payment, and required terms and conditions for the delivery of the Products (hereinafter “Order Header”). 2.2 The Order shall be construed as a contract proposal and deemed as accepted by *** (hereinafter “Sale”), unless otherwise notified by the latter within 40 days of the Order date. 2.3 The Customer is entitled to modify or cancel the Order by registered letter with acknowledgement of receipt to be received by *** by and no later than 30 days as from the date of execution thereof. 3. Right of Termination by Notice, Suspension and Reduction 3.1 At any time and following written notice by registered letter with acknowledgement of receipt to the Customer, *** may: (i) unilaterally terminate the contract, (ii) suspend the service, and (iii) reduce the supply. The aforementioned rights may be exercised by *** whenever events occur or circumstances arise that make the manufacturing of Products impossible or uneconomic. 3.2 In all cases under Art 3.1 hereof, no compensation and/or demand, for whatever reason, may be claimed by the Customer against ***. 4. Force Majeure. 4.1 *** is not liable to the Customer for any default including, but not limited to, failed or delayed delivery of Products caused by events beyond the reasonable control thereof such as, but not limited to, failed or delayed delivery of materials from suppliers, plant breakdowns, strikes and other trade unions actions, disruption of energy flows, transport suspension or difficulties. The occurrence of these events shall not entitle the Customer to claim any damages and/or compensation, for any reason whatsoever. 5. Customer's Termination by Notice 5.1 The Customer may terminate the contract by notice only for just cause. If the contract is terminated by notice without a just cause, the Customer shall pay to *** an amount equal to 50% of the total value of the Order, if the production is not completed, or equal to 100%, if the goods are ready for delivery. 5.2 *** reserves, however, the right to claim compensation for any further suffered damages due to the unjustified termination by notice of the Customer. 6. Price of Products. 6.1 The prices of Products are those indicated in the price-list of *** as valid and effective at the time of the Order by the Customer. 6.2 Except as otherwise agreed in writing between the Parties, the aforementioned prices are ex factory, without application of VAT and discounts. Except as otherwise agreed in writing between the Parties, the prices include the cost of packaging, shipping and transport from the premises of *** to those of the Customer; 6.4 Without prejudice to the rights under Art.
3 hereof, *** reserves the right to unilaterally change the prices indicated in its price-list, without notice and with immediate effect, in cases where the adjustment is due to circumstances beyond its control (such as, but not limited to: increased price of raw materials and labour costs or different exchange rates). That being the case, the changes shall be communicated to the Customer and immediately effective on all Orders received by *** as from the date on which such changes have been notified to the Customer. 6.5 The Customer may carry

Условия оптовых продаж: 1 Преамбула. 1.1 Данный договор на оптовые продажи (далее именуемый «Договор оптовых продаж») должен регулировать любые соглашения в настоящем и будущем заключеные между АО *** и *** (далее именуемый «Клиент») (вместе именуемые «Стороны») для продажи *** и оплаты Килентом одежды и модных аксессуаров помеченных торговой маркой *** (Далее «товары») и продаж их третьим лицам, включая площадки электронной коммерции согласно ст. 10.2 данного договора, за исключением особых письменно зафиксированных случаев согласия ***.
1.2 В случае конфликта между другими соглашениями заключеными между Сторонами и данным Договором Оптовой Продажи, последний имеет преимущество, если с *** официально и безоговорочно не подтверждено иное. 1.3. Каждая оплата подтвержденая Клиентом в пользу *** (далее «Счет» ) подразумевает полное и безоговорочное принятие Клиентом условий данного Договора Оптовой Продажи и «Принципов электронного использования товарных знаков и эксклюзивных прав принадлежащих АО *** (Далее «принципы»). Это подтверждается в письме А приложенном к данному договору, и являющемся его неотъемлемой частью. 2. Счета и информация по договору. 2.1 Счета подтвержденные Клинтом должны содержать: (I) описание товара (наименование, цвет), необходимое количество, цена и (II) информацию о компании Клиента, IBAN код, способ оплаты, необходимые условия и положения доставки Товаров (Далее «Заголовок заказа»).
2.2 Счет должен быть составлен как предложение о заключении договора признаваемый *** (Далее «Продажа»), если об ином не было письменного уведомления в течение 40 дней со дня Заказа. 2.3 Клиент имеет право изменять или отменять Заказ с помощью зарегистрированного письма с уведомлением о вручении *** не позднее чем за 20 дней со дня данного действия. 3. Право на отмену по уведомлению, приостановку, уменьшение.
3.1 В любое время с помощью письменного уведомления зарегистрированным письмом с уведомлением о вручении Клиенту, *** имеет право: (I) в одностороннем порядке аннулировать договор, (II) приостановить услуги, и (III) уменьшить поставку. *** может пользоваться данными правами когда бы ни произошли события или обстоятельства предшествующие экономической нецелесообразности или невозможности производства Товара. 3.2 Все случаи пункта 3.1 данного договора не подразумевают компенсацию или требование по любому поводу со стороны Клиента к *** когда бы ни произошли события или обстоятельства им предшествовавшие. 4. Форс мажор. 4.1 *** не несет ответственность перед Клиентом за любые включения по умолчанию, без ограничений к сбою или задержке доставки Товара обусловленными событиями не поддающимися контролю со стороны, такие как, но без ограничений, сбой или задержка в поставке материалов от поставщиков, неурожай, забастовка и другие действия экономических союзов, отключение энергии, проблемы с транспортным сообщением. Наступление данных событий не дает Клиенту права требовать каких либо компенсаций по любому поводу. 5. Отмена Клиентом уведомлением. 5.1 Клиент может аннулировать Договор только по достаточным основаниям. Если договор расторгается не по убедительным мотивам, Клиент должен оплатить *** сумму равную 50% Счета, если производство еще не завершено и 100% если товары уже готовы к отправке. 5.2 *** оставляет за собой право требовать возмещение убытков вследствие необоснованной отмены уведомлением со стороны клиента. 6. Цена Товаров. 6.1 Цена товара указывается в прейскуранте *** и имеет силу на время заказа Клиента. 6.2 Исключая случаи когда письменно согласовано иное вышеупомянутые цены являются ценами фабрики, без НДС и скидок. Исключая случаи когда письменно оговорено иное между Сторонами, цена включает стоимость упаковки, перевозки, и перевозки из помещений *** в помещения Клиента. 6.4 Без ограничений прав по пункту 3 данного договора, *** оставляет право одностороннего изменения цен указанных в тарифе, без предупреждения и с немедленным вступлением в силу, в случаях когда это вызвано независимыми обстоятельствами (такими как но не ограничиваясь: рост цен на сырье и труд, разные курсы валют). Данные случаи обговариваются с Клиентом и немедленно вступают в силу ко всем Счетам полученным *** начиная с даты в которую Клиент был уведомлен об изменениях. 6.5 Клиент может проводить рекламные компании
