Это не просто материальная заинтересованность - точно. Было бы так, как вы пишете - material interest. Здесь interest, наверное, доля, участие в прибыли. А дальше как Валерий сказал - сушественная для данного предложения. Это как бы заявление о том, что те, кто подготовил предложение, работали не на себя а на компанию - эмитента. Т.е. получается, что если это заинтересованность, то совсем кровная.

Уверенности нет, но есть уверенновть в том, что это не просто материальная заинтересованность.
