I like this better than the first two suggested translations.
Re the first, a sociedad bajo promesa by definition cannot be in process of registration. If it is bajo promesa, the contrato de sociedad has not yet been signed, so there's nothing to register.
Re the second, if the sociedad is bajo promesa, there is not yet a partnership among the participants. They've promised to become partners in the ownership of the company to be formed, but are not partners in this sense until the contrato de sociedad has been signed.

Colombian law defines "sociedades bajo promesa" as being "bajo promesa de contrato de sociedad", which in turn is defined as follows:
