English to Russian Bus/Financial Finance (general)

if and to the extent that the Closing Working Capital is higher or lower than the Estimated Working Capital and/or the Closing Financial Indebtedness is higher or lower than the Estimated Financial Indebtedness, the Purchase Price shall be subject to a price adjustment as follows:

(a) in the event the Closing Working Capital is lower than the Estimated Working Capital, the Purchase Price shall be adjusted downward Euro by Euro;
(b) in the event the Closing Working Capital is higher than the Estimated Working Capital, the Purchase Price shall be adjusted upward Euro by Euro.

если и при условии, что Оборотный капитал на Дату закрытия будет меньше или больше Предполагаемого оборотного капитала и/или Финансовая задолженность на Дату закрытия будет меньше или больше Предполагаемой финансовой задолженности, Покупная цена подлежит корректировке следующим образом:
