Los honorarios serán satisfechos en la moneda establecida en el contrato comercial que se suscriba con el Cliente y serán pagaderos mediante transferencia bancaria, contra la presentación de la pertinente factura, en la cuenta corriente que oportunamente se mencione en la misma, que no podrá estar domiciliada en ninguno de los países reputados paraísos fiscales por la legislación española. *Los pagos se efectuarán a prorrata de los cobros que perciba XXX dentro de los treinta (30) días naturales siguientes a la fecha en que dichos desembolsos o disposiciones hayan sido cobrados por XXX.*

I am querying the phrase in asterisks. I have put "cobros que perciba" as "collections received" but I really don't understand what these are. It refers to "desembolsos" which I have translated as "disbursements" but it refers to "disposiciones". I can't imagine what "disposiciones" are as I have always translated this as arrangements but it looks like some sort of money that is collected. I'm not even sure why the company would have to collect money first in order to pay the consultancy firm.

The context is a contract; this section describes how fees will be paid to the consultancy firm by the company it is working for, XXX.

Closure I have translated this as payments to the consultant shall be made prorata to amounts invoiced and received (collected) by XXX within 30 calendar days following the date on which said disbursements or funds spent were invoiced by XXX. I think this is referring to funds spent on behalf of the client. There are in fact 3 parties, the client, consultancy firm and the company XXX. The company wants to cover itself by stipulating that it will not pay the consultancy firm until money spent on behalf of the client is recovered from the client.

"Disponer de dinero" in general = "to widraw".
The opposite of "disposición" is "imposición".
(In Spain, at least.)

Absolutely, I wil explain what I understand; however, that does not mean that I am write. I agree that this is a consluting firm being paid for services rendered. In order to collect the appropriate fees, either the company pays it, or the company draws down or borrows the money so that the consultancy firm can get paid.

The conslultancy company is not going to borrow the money, since it is the company getting paid.

Drawdown

The use of funds provided under a borrowing facility. The borrowing facility would first be organised between the lender and client (borrower), but the funds would not be used until the drawdown takes place. Once the client has used all or part of the funds, the loan is 'drawn down'.

Besides, in the original the conjunction is "or": that is, either payments (the tradictional way) or money collected by the consultancy firm, but that was borrowed against the company that is paying the consultancy firm's invoice.

At least that is how I understand it.

Michael, why would a loan be involved? The context is a contract; this section describes how fees will be paid to the consultancy firm by the company it is working for, XXX. I don't follow. I'm not saying you're wrong but can you explain why you think a this is referring to a loan?
