Approval of the appointment of X to act as shareholder representative of the Company for the purposes of executing the sole members’ written resolutions in order to approve the granting of security, and entry into certain security documentation, by its wholly-owned subsidiaries, Y and Z, in connection with a Facility Letter dated *** establishing a $65m **corporate and trade finance facility between A Bank as lender and each of the Company, Y and Z, as joint and several borrowers thereunder (as amended from time to time).
