"On ne parle plus ici de responsabilité contractuelle, mais de **théorie de l'organe**. Celle- permet à un tiers d'engager directement la responsabilité de l'association et non celle de son directeur fautif.

Je pense ici que le sens est qu'il est possible de mettre en jeu la responsabilité de la société, qui se retour ensuite contre son directeur. L'expression corporate liability traduit en fait le résultat de l'application de la théorie de l'organe (responsabilité de la personne morale pour les actes de ses organes).
