A couple of typos in the ST: "ortogado" should be "otorgado" and "incribe" should be "inscribe".

"Otorgar" is commonly rendered as "execute"; it is the act of formalising an "escritura" before a notary.

"Escritura" is often called a "deed", but "instrument" is a more general term which I would use in preference here. It says "la escritura", but I think in English the natural equivalent will be "an instrument".

"Que se inscribe" means "which is recorded" in the Companies Register, the Registro Mercantil.

For "hacer constar" I think "certify" is the best equivalent. Here "certifying" is sufficient, in my opinion, for "por la que hace constar".

"Por la que hace constar" means "by which he/she/it certifies", and "which" refers to "la escritura", so really it just means that the instrument certifies whatever follows this.
