ביום 25 ביולי 2005 התקבל בכנסת חוק לתיקון פקודת מס הכנסה (מס' 147), התשס"ה 2005- ("התיקון"). התיקון משנה באופן ניכר את הוראות פקודת מס הכנסה (נוסח חדש), התשכ"א- 1961 ("הפקודה"), הנוגעת למיסוי ניירות ערך הנסחרים בבורסה. כמו כן, במועד פרסום התשקיף טרם התפרסמו כל התקנות החדשות הצפויות להתפרסם בעקבות התיקון.
בנוסף, במועד פרסום התשקיף לא קיימת פרקטיקה מקובלת לגבי חלק מהוראות התיקון וכן לא קיימת פסיקה המפרשת את הוראות המס החדשות בתיקון.
כמקובל בעת קבלת החלטות על השקעות כספים, יש לשקול את השלכות המס הקשורות בהשקעה בניירות הערך המוצעים. ההוראות הכלולות בתשקיף בדבר מיסוי ניירות הערך אינן מתיימרות להוות פרשנות מוסמכת של הוראות החוק הנזכרות בתשקיף, ואינן באות במקום יעוץ מקצועי, בהתאם לנתונים המיוחדים ולנסיבות הייחודיות לכל משקיע.
לפי הדין הקיים כיום חלים על ניירות הערך המוצעים לציבור (לרבות המניות ואגרות החוב שתנבענה ממימוש כתבי האופציה ומהמרת אגרות החוב להמרה) הסדרי המס המתוארים בתמצית להלן:
2.22.1 רווח הון ממכירת ניירות הערך (א) בהתאם לסעיף 91 לפקודה, רווח הון ריאלי ממכירת ניירות ערך על-ידי יחיד תושב ישראל חייב במס בשיעור המס השולי של היחיד בהתאם לסעיף 121 לפקודה, אך בשיעור שלא יעלה על 20% , ויראו את רווח ההון כשלב הגבוה ביותר בסולם הכנסתו החייבת. זאת, למעט לגבי מכירת ניירות ערך על-ידי יחיד שהינו "בעל מניות מהותי" בחברה-קרי, המחזיק, במישרין או בעקיפין, לבדו או יחד עם אחר 3, ב 10%- לפחות באחד או יותר מאמצעי השליטה בחברה -4 במועד מכירת ניירות הערך או במועד כלשהו ב 12- החודשים שקדמו למכירה כאמור, אשר שיעור המס לגבי רווח הון ריאלי בידיו לא יעלה על 25%. על אף האמור לעיל, רווח הון בידי יחיד במכירת אגרת חוב, שאינה צמודה למדד (או שאינם נקובים במטבע חוץ או שערכם אינו צמוד למטבע חוץ), יחויב במס בשיעור שלא יעלה על 15%, או של 20% לעניין בעל מניות מהותי, ויראו את כל רווח ההון כרווח הון ריאלי. כמו כן, לגבי יחיד שתבע הוצאות ריבית ריאלית והפרשי הצמדה בשל ניירות הערך יחויב רווח ההון הריאלי ממכירת ניירות הערך במס בשיעור של 25%, עד לקביעת הוראות ותנאים לניכוי הוצאות ריבית ריאלית לפי סעיף 101 א (א)( 9) לפקודה. שיעור המס המופחת כאמור לא יחול לגבי יחיד שההכנסה בידיו ממכירת ניירות הערך היא בגדר הכנסה מ"עסק" לפי סעיף 2(1) לפקודה, שאז בהתאם להוראות יחול שיעור המס השולי כקבוע בסעיף 121 לפקודה.

2.22 Taxation Implications
On 25 July 2005, the Knesset passed an amendment to the Income Tax Ordinance (No. 147), 2005 (the "Amendment"). The amendment changes considerably the Income Tax Ordinance (New Version), 1961 (the "ordinance "), relating to taxation on securities traded on the Stock Exchange. Also, at the time of the prospectus publication, all the new regulations expected to be published following the amendment have not yet been published.
In addition, at the time of the prospectus publication, there is no common practice regarding some of the provisions of the amendment and likewise there is no case law that interprets the new tax provisions in the amendment.
As is customary when making decisions on investment of funds, the tax consequences related to the investment in the offered securities must be considered. The instructions contained in the prospectus regarding the taxation on securities do not purport to be an authoritative interpretation of the law provisions mentioned in the prospectus, and do not replace professional consultation, in accordance with the special data and circumstances of each investor.
Under the current law, tax arrangements apply to the securities offered to the public (including shares and bonds incurred by exercising of warrants and conversion of convertible bonds) as described in the summary below:
2.22.1 capital gain from the sale of securities
(a) in accordance with section 91 of the Ordinance, real capital gain from the sale of securities by an individual who is a resident of Israel, is taxable at the individual's marginal tax rate in accordance with section 121 of the Ordinance, but at no more than 20%, and the capital gain shall be regarded as the highest bracket of his taxable income. This excludes the sale of securities by an individual who is a "significant shareholder" in the Company, i.e. who holds, directly or indirectly, alone or with another 3 (as defined in section 88 of the Ordinance) at least 10% of one or more of the means of control of the Company 4 (as defined in section 88 of the Ordinance) - at the time of sale of the securities or at any time during the 12 months preceding the sale as stated, which the tax rate for the real capital gain held by him does not exceed 25%. Notwithstanding the foregoing, the capital gain held by an individual in the sale of a bond, which is not linked to the CPI 5 (as a bond is defined in section 91 of the Ordinance) (or are not denominated in foreign currency or which value is not linked to foreign currency), will be taxed at a maximum rate of 15%, or 20% with regard to a significant shareholder, and all the capital gain shall be seen as real capital gain. Also, with regards to an individual who claimed real interest expenses and linkage differentials for the securities, the real capital gain from the sale of the securities shall be taxed at a rate of 25%, until provisions and conditions for the deduction of real interest expenses under section 101(a) (A)(9) of the Ordinance are determined. The said reduced tax rate shall not apply to an individual whose income held from the sale of securities is by way of income from a "business"', according to Section 2(1) of the Ordinance, for then the marginal tax rate as set in article 121 of the Ordinance shall apply.

Important Information
• Your study staff will explain how to prepare and inject the medicine using the prefilled syringe. Do not inject yourself or someone else until you have been instructed on how to inject your prefilled syringe.
• Keep these Instructions for Use and refer to them as needed.
• Each prefilled syringe is for one-time use only. Do not share or reuse your prefilled syringe. You may give or get an infection.
• You will need to give yourself 2 injections to receive your complete dose.
• The prefilled syringe contains glass parts. Handle it carefully. If you drop it on a hard surface, do not use it. Return it to your study staff and ask for a new one.
• Your study staff may help you decide where on your body to inject your dose. You can also read the “Choose your injection site” section of these instructions to help you choose which area can work best for you.
• If you have vision problems or other disabilities that may affect your use of the prefilled syringe, do not use the prefilled syringe without help from a caregiver.
Storage and Handling
• Store your prefilled syringes in the refrigerator between 36ºF to 46ºF (2ºC to 8ºC).
• Do not freeze your prefilled syringes.
• Protect your prefilled syringes from light until use.
• Do not shake your prefilled syringes.
• If any of the above conditions are not followed, return the syringes to your study staff and ask for new ones.
• Keep your prefilled syringes and all medicines out of the reach of children.
