1. The name of the Company is _____ MANAGEMENT, LTD.
2. The registered office of the Company will be situated at ________________________, Grand Cayman, KY1-1104, Cayman Islands or at such other location in the Cayman Islands as the Directors may from time to time determine.
3. The objects for which the Company is established are unrestricted and the Company shall have full power and authority to carry out any object not prohibited by the law of the Cayman Islands.
4. The liability of each Member is limited to the amount, if any, unpaid on such Member’s shares.
5. The capital of the Company is US$1,000 divided into 1,000 shares of a nominal or par value of US$1.00 each with power for the Company, subject to the provisions of the Companies Law (2013 Revision) and the Articles of Association, to redeem or purchase any of its shares and to sub-divide or consolidate the said shares or any of them and to issue all or any part of its capital whether original, redeemed, increased or reduced, with or without any preference, priority or special privilege or subject to any postponement of rights or to any conditions or restrictions whatsoever and so that unless the conditions of issue shall otherwise expressly provide, every issue of shares, whether stated to be ordinary, preference or otherwise, shall be subject to the powers on the part of the Company hereinbefore provided.

הואיל והסכם זה בא להסדיר את יחסי השיתוף בין הצדדים במקרקעין הידועים בתור יחידה 9 (להלן "תת החלקה") בחלקה _______ בגוש _______ בתל-אביב (להלן: "המקרקעין").
והואיל והצדדים הינם הבעלים במשותף של 24/100 זכויות במקרקעין באופן שצדדים 1-3 הינם בעלים במשותף, בחלקים שווים ביניהם, של מחצית מתת החלקה במקרקעין, וצד 4 הינו הבעלים של מחצית מתת החלקה.
והואיל ועל המקרקעין מצוי בניין (שטרם נרשם כבית משותף) הממוקם _______)להלן: "הבניין").
והואיל והבניין הינו בניין אשר עובר חיזוק בפני רעידות אדמה (תמ"א 38 ) שיפוץ ותוספת בניה חדשה (להלן: "העבודות").
והואיל ובתוספת הבניה החדשה שתבנה בקומה ג' וד' קיימות לצדדים זכויות בניה ל-5 דירות שתרשמנה כ-5 יחידות משנה (תתי חלקות) במסגרת רישום בית משותף (להלן: "הדירות").
והואיל והצדדים מעוניינים לחלק ביניהם את הזכויות בדירות, כפי שיעור חלקיהם במקרקעין,.
. והואיל והצדדים שכרו את השמאי אריק דסה שהכין הערכת עלויות לפרויקט ובחן שווי דירות (והערכתו מצ"ב כנספח א' להסכם זה ומהווה חלק בלתי נפרד הימנו)

לפיכך, הוצהר, הותנה והוסכם בין הצדדים כדלקמן:
1. מבוא
1.1. האמור במבוא להסכם זה מהווה חלק בלתי נפרד ממנו.
הצדדים יפעלו בהתאם לאמור בהסכם זה.
1.2. הצדדים הינם בעליו המשותפים של הזכויות במקרקעין ומוסכם ביניהם כי חלוקת השימוש והחזקה בנכס וחלוקת הדירות תהיה על פי האמור בהסכם זה.
2. תאור המקרקעין וחלוקתם
2.1. על המקרקעין מצוי בניין (כהגדרתו לעיל) הכולל גם את ה"מקרקעין" כהגדרתם דלעיל.
2.2. במסגרת העבודות יתווספו לבניין הקיים קומה ג' חדשה וד' שיכללו את הדירות כהגדרתן לעיל (5 דירות), כמתואר להלן:
דירה מס' 12 – צד צפון מערב קומה ג
דירה 13 – צד צפון מזרח קומה ג
דירה מס' 14 - צד צפון קומה ג'
דירה מס' 15 - צד צפון קומה ג'
דירה מס' 16- צד דרום קומה ד'
דירה מס' 17 - צד צפון קומה ד'
• דירות 14-15 מהוות עפ"י ההיתר הקיים דירה אחת שייתכן ותפוצל במסגרת היתר שינויים, כמפורט להלן.
(לעיל ולהלן: "הדירות")
3. ייחוד הדירות, החזקה והשימוש בהם
מוסכם בין הצדדים, כי הזכויות במקרקעין ייחודו ויחולקו בין הצדדים באופן הבא, באופן התואם את שיעור חלקו של כל צד במקרקעין וללא כל תשלומי תמורה בין הצדדים:
דירה מס' 12 צד 4 (100%) צבע אדום בתשריט
דירה מס' 13 צד 1 (17%) וצד 2 ( 17% )
צד 4 (66% ) צבע ירוק בתשריט
דירה מס' 14-15 צד 1 (50%) צד 2 (50%) צבע סגול בתשריט
דירה מס' 16 צד 3 (100%) צבע צהוב בתשריט
דירה מס' 17 צד 4 (100%) , צבע כחול בתשריט
3.1.1. מוסכם, כי בכל מקרה, לא יחול שינוי בחלקו של כל צד בזכויות הבעלות בחלקה, כאמור במבוא להסכם זה.
3.1.2. הדירות ומספרי תת החלקה של כל דירה מתוארים בתשריט שעותק ממנו רצ"ב להסכם זה כחלק בלתי נפרד ממנו (להלן: "התשריט").
4. דיספוזיציה
4.1. מוסכם בין הצדדים, כי כל צד יהא רשאי לנהוג לגבי חלקיו במקרקעין מנהג בעלים לכל דבר ועניין, ומבלי לגרוע מן האמור לעיל, יהא כל צד רשאי לעשות כל עסקה ו/או דיספוזיציה ו/או שיעבוד לגבי חלקיו במקרקעין על-פי הסכם זה, בהתאם לשיקול דעתו הבלעדי, ומבלי כל צורך לקבל את הסכמת הצד האחר לכך וללא כל הגבלה אחרת שהיא, ואין השיתוף או הסכם זה מקנים לצד השני כל זכות יתר שהיא, ובלבד שהוא יפעל בהתאם לדין.
4.2. למען הסר ספק מובהר כי לא תהיה לצד כלשהו זכות קדימה לגבי זכויות צד אחר בהסכם זה, כולן או מקצתן.
4.3. כל צד יהא זכאי, בלעדית, לכל הכנסה שתצמח לו מחלקיו במקרקעין.
4.4. מבלי לגרוע מכלליות האמור לעיל מוסכם, כי כל צד יהא רשאי ליזום פירוק שיתוף, לפי חוק המקרקעין בדרך של רישום בית משותף ובלבד שייחוד החלקים במקרקעין ברישום הבית המשותף יהיה תואם לחלוקה על פי הסכם זה, והכול בהתאם להוראות סעיף 8 להלן.
4.5. הצדדים מסכימים ביניהם להוציא למכירה את דירה מספר 13 לכל המרבה במחיר. היה והדירה לא תמכר בתוך 24 חודשים מיום חתימת הסכם הדירה תמכר במסגרת הזמנה להציע הצעות שתבוצע ע"י עו"ד רוטר . הצדדים בחתימתם על הסכם זה נותנים בזאת הוראה והרשאה בלתי חוזרת לעו"ד רוטר לבצע את המכירה בדרך שתמקסם את התמורה שתתקבל, לשלם את כל ההוצאות, תשלומים לנותני שירות (כגון מפרסמים, מתווכים וכד') ותשלומי המיסים הנובעים ממכירת הדירה ולאחר תשלום כל הוצאות אלה לחלק את התמורה בין הצדדים עפ"י חלקיהם נקובים בהסכם זה לעיל.
4.6. יפוי הכל הבלתי חוזר המפורט בסעיף 10 להלן, יכללו גם הוראה למכירת דירה 13 כאמור לעיל.
5. אחריות
כל צד יהא אחראי באופן בלעדי – כלפי כולי עלמא (לרבות כלפי הצדדים האחרים להסכם זה) – לגבי כל בנייה, ככל שתהיה, ו/או פעולה ו/או מעשים ו/או מחדלים ו/או אירועים, מכל מין וסוג שהוא, בהתייחס לחלקיו במקרקעין, לכל דבר ועניין, וזאת - בכפוף לשימוש בפועל ולהוראות כל דין.
6. מיסים, תשלומי חובה והוצאות
6.1. כל צד ישא בכל המיסים והתשלומים העירוניים והממשלתיים וכל תשלומי החובה האחרים, מכל מין וסוג שהוא ולרבות כל ההוצאות הנובעות מן הבעלות ו/או השימוש ו/או החזקה, בהתייחס לדירתו ושאר חלקיו במקרקעין .
6.2. כל צד ישא בהתאם לחלקו היחסי במקרקעין בכל הוצאה שתדרש בקשר עם שיפוץ הבניין, לרבות חיזוקו.
6.3. מוסכם על הצדדים כי ככל ותתאפשר חלוקה דירות 14-15 ל-2 דירות נפרדות הרי שייוחדו לכל אחד מצדדי 1 ו-2 מלוא הזכויות באחת הדירות כך שצד 1 יהיה הבעלים של מלוא הזכויות באחת מדירות 14 או 15 וצד 2 יהיה הבעלים של מלוא הזכויות באחת מדירות 14 או 15 כשחלוקת הדירות בין הצדדים הנ"ל תיעשה בדרך של הגרלה ביניהם. בגין חלוקה האמורה בס"ק זה לא יחולו כל תשלומי איזון בין הצדדים הואיל והדירות הינן בעלות שווי מקביל וחלוקתן תואמת את שיעור חלקי הצדדים ביחידות הנ"ל.
מוסכם על הצדדים כי כל ההוצאות הכרוכות בשינוי ההיתר בגין חלוקת הדירות וביצוע הפיצול בפועל כך שכל אחת מהן תהווה דירה ראויה למגורים – תחול על צדדי 1 ו-2 הנ"ל, בחלקים שווים ביניהם.
6.4. מובהר בזה כי הסכם זה נעשה בלא שצד להסכם ישלם למשנהו או יקבל ממנו תמורה כלשהיא תמורת התחייבויותיהם לפי הסכם זה.
7. פגיעה בזכויות
כל צד מתחייב שלא לעשות ולא להרשות לאחר לעשות מעשה כלשהוא העלול לפגוע בזכויותיו של הצד האחר.
8. פירוק השיתוף
8.1. שום צד לא יוכל לפנות לבית המשפט ולבקש פירוק השיתוף במקרקעין שלא בדרך הקבועה בהסכם זה.
8.2. פירוק השיתוף של המקרקעין יהיה אך ורק על דרך רישומם כבית משותף בפנקס הבתים המשותפים, ובמקרה זה יהיו לצדדים אותן הזכויות והחובות שיש להם על פי הסכם זה, בשינויים המחויבים, ויחולו גם הוראות אלו:
8.2.1. כל צד יהיה הבעלים של החלקים במקרקעין שיוחדו לו על פי הסכם זה.
8.2.2. זכויות הבניה הקיימות ו/או העתידיות ייוחדו לצדדים על פי חלקיהם היחסיים במקרקעין.
9. תוקף ההסכם
9.1. הסכם זה יחייב את הצדדים, את חליפיהם, את הבאים מכוחם ואת כל מי שירכוש ו/או יירש את זכויותיהם או חלק מזכויותיהם בעתיד לכל דבר ועניין ובכל נסיבות שהן וזאת ללא כל צורך בקבלת הסכמתם לכך.
9.2. כל צד כי מתחייב כי בכל מקרה שבו יועברו/ימכרו על ידו הזכויות במקרקעין או חלקן קודם לתיקון צו הבית המשותף באופן התואם את הסכם זה, הוא יגרום לחתימת הסכם השיתוף על-ידי מקבל/רוכש הזכויות, וכי יכלול בהסכם העברת/מכירת הזכויות התחייבות מצד מקבל/רוכש הזכויות לחתום על הסכם שיתוף זה ולקבל עליו את הוראותיו.
10. יפוי כח
הצדדים יחתמו על יפוי כח בלתי חוזר המסמיך את עורכי הדין ממשרד אביבה רוטר ושות' משרד עו"ד ו/או רן מרכוס ו/או אמנון מרכוס, לעשות בשמם ובמקומם את הפעולות ולחתום על המסמכים, כפי שיידרש, לשם ביצועו של הסכם זה.
11. ההסכם ושינויו
11.1. כל שינוי בהסכם זה והוראותיו יהא בהסכמה הדדית ובכתב בלבד, ובמידה שבה נרשם הסכם זה בלשכת רישום המקרקעין יהא כל שינוי כאמור טעון גם רישום בלשכת רישום המקרקעין.
11.2. אין בקיומו של הסכם זה ו/או הוראותיו כדי להגביל ו/או למנוע בכל צורה את הזכות העומדת למי מן הצדדים להסדיר את היחסים הפנימיים בין יחידיו באמצעות הסכם שיתוף נוסף, ובלבד שהסכם השיתוף הנוסף יהא כפוף להוראות הסכם שיתוף זה ולא יעמוד בסתירה להן.
12. תמורה ומיסים
12.1. מובהר בזה כי הסכם זה נעשה בלא שצד ישלם למשנהו או יקבל ממנו תמורה כלשהיא כנגד התחייבויותיהם לפי ההסכם, וזאת הואיל וייחוד הדירות לצדדים נעשה בהתאם לחלקיהם של הצדדים במקרקעין.
12.2. היוצא מהאמור בסעיף זה הוא שהעסקה פטורה מתשלום מס שבח מקרקעין ומס רכישה והצדדים ידווחו על הסכם זה לרשויות המס לצורך קבלת אישורים לצורך רישום המקרקעין בפנקס הבתים המשותפים.
13. כללי
13.1. הצדדים חותמים על הסכם זה לאחר שקראו את תוכנו, הבינו את כל האמור בו והסכימו לקיימו כלשונו.
13.2. הצדדים מתחייבים בזה לחתום על כל המסמכים, אשר חתימתם דרושה עליהם, בכדי להביא לקיום התחייבויותיהם לפי הסכם זה, וזאת מייד לכשיתבקשו לעשות כן ע"י מי מהצדדים או עפ"י מיופה כוחם.
13.3. הוראות הסכם זה יחולו ביחסים שבין הצדדים והוא מבטל כל הסכמה ו/או מצג בין הצדדים עובר לחתימתו. לא יהיה תוקף לכל שינוי, ויתור, ארכה, שינוי חוזה זה או תנאי מתנאיו ו/או נספחיו ו/או ביטול ו/או תוספת להסכם זה, אלא אם נעשו בכתב ונחתמו ע"י כל הצדדים.
13.4. על הסכם זה יחולו הוראות חוק החוזים (תרופות בשל הפרת חוזה) התשל"א-1971.
14. הודעות וסמכות שיפוט
14.1. כל הודעה שתשלח על ידי אחד הצדדים למשנהו תחשב כנמסרת תוך 72 שעות מעת מסירתה כדבר דואר רשום.
14.2. מוסכם בין הצדדים כי כל חילוקי דעות וסכסוכים אשר יתגלעו בין הצדדים בכל הקשור להוראות הסכם זה ו/או הנובעים ממנו, יובאו לבוררות אצל עו"ד אמנון מרכוס ואם לא יגיעו להסכמה אזי יובאו להכרעת בתי המשפט המוסמכים בתל-אביב-יפו, להם תהא הסמכות הבלעדית לדון בכל תובענה הקשורה להסכם זה.
הבורר לא יהא כפוף לדין המהותי, יהא חייב לנמק את פסקו ויהא חייב לנהל פרוטוקול אך לא יהא כפוף לדיני הראיות.
חתימת הצדדים על הסכם זה כמוה כחתימת שטר בוררין תקף כדין.

Whereas this agreement regulates the shared ownership relations between the parties in the property known as unit _______(hereinafter the “Sub-Parcel") in parcel _______, block _______, in Tel Aviv (hereinafter the "Property"); and
Whereas the parties are joint owners of 24/100 of the Property rights, so that parties 1-3 are joint owners, in equal share between them, of half of the Sub-Parcel in the Property, and party 4 is the owner of half of the Sub-Parcel; and
Whereas a building exists on the Property (not yet registered as a condominium), located at 94 Yehuda Halevi St. in Tel Aviv (hereinafter: the “Building”); and
Whereas the Building is being reinforced against earthquakes (NOP 38), renovated and supplemented with new construction (the “Works”); and
Whereas in the new construction supplement to be built on floors C and D, the parties have construction rights over 5 apartments which will be registered as 5 sub-units (sub-parcels) as part of the registration as a condominium (hereinafter: the "Apartments"); and
Whereas the parties are interested in mutual sharing of the rights over the Apartments, in accordance with their pro rata share in the Property; and
Whereas the parties hired the services of the appraiser Eric Dasa, who has prepared a cost estimate to the project, and examined the value of the Apartments ( his estimate is attached as Appendix A to this agreement and forms an integral part thereof).
Therefore, it is declared, conditioned and agreed by the parties as follows:
1. Preamble
1.1. The introduction to this agreement constitutes an inseparable part thereof.
The Parties shall act in accordance with this agreement.
1.2. The parties are joint owners of the Property rights, and it is agreed between them that the division of the use and possession of the asset, and the division of the Apartments, shall be conducted as provided in this agreement.
2. Property description and division
2.1. A Building (as defined above) exists on the property, which also includes the “Property” as defined above.
2.2. In the framework of the Works planned for the Building, new floors will be added (floors C and D), which will include the Apartments as defined above (5 Apartments), as described below:
Apartment no. 12 - facing north West, floor C.
Apartment no. 13 - facing north east, floor C.
Apartment no. 14 - facing north, floor C.
Apartment no. 15 - facing north, floor C.
Apartment no. 16 - facing south, floor D.
Apartment no. 17 - facing north, floor D.
• Apartments 14-15 constitute, according to the existing permit, a single apartment which may be split, as part of an alterations permit, as described hereinafter.
(Hereinabove and hereinafter: “the Apartments”)
3. The Apartments' assignment, possession and usage
The parties agree that the rights over the Property shall be assigned and divided between the parties in the following manner, in line with the percentage of each party’s share in the Property and without any proceeds payments between the parties:

and party 2 (17%)
Party 4 (66%) Green color in the blueprint
Apartment no. 14-15 Party 1 (50%)

Apartment no. 17 Party 4 (100%) Blue color in the blueprint
3.1.1. It is agreed that, in any event, no modification shall occur in each party’s share in the ownership rights of the lot, as stated in the preamble to this agreement .
3.1.2. The Apartments, and the Sub-parcel numbers of each Apartment, are described in the blueprint, of which a copy is attached to this agreement as an integral part thereof (hereinafter: “the Blueprint”).
4. Disposition
4.1. The Parties agree that each party shall be entitled to act his/her the share of Property as an owner in every respect, and without limiting the foregoing, each party may execute any transaction and/or disposition and/or pledge on his/her share of the Property in accordance with this agreement, by his/her sole discretion, without any need to obtain the consent of the other party, with no other limitation whatsoever, and this shared relationship or agreement does not grant the other party any privilege whatsoever, provided that he/she operates by the law.
4.2. For the avoidance of doubt, it is clarified that no party shall have any preemptive right in regards to the rights of another party of this agreement, in whole or in part.
4.3. Each party shall be entitled, exclusively, to all the income gained from his/her share of the Property.
4.4. Without limiting the forgoing, it is agreed that each side will be allowed to initiate the dissolution of the shared ownership, under the Property Law, by means of Registration of a Condominium, provided that assignment of the Property parts in the Registration of a Condominium shall be compatible with the division under this agreement, all in accordance with section 8 below.
4.5. The parties agree to offer the sale of Apartment No. 13 to the highest bidder. If the Apartment shall not be sold within 24 months from the day the agreement is signed, the Apartment will be sold as part of a Request for Proposals to be conducted by Mr. Rotter. The parties, by signing this agreement, thereby express an irrevocable instruction and authorization to Attorney Rotter to make the sale by way which shall maximize the proceeds received, to pay all costs, payments to service providers (such as advertisers, brokers, etc.) and tax payments, resulting from the sale of the Apartment, and after payment of all these expenses, to divide the proceeds among the parties according to their share which is quoted herein above.
4.6. The irrevocable power of attorney detailed in Section 10 below, shall also include an instruction to sale of Apartment 13 as mentioned above.
5. Responsibility
Each party shall be solely responsible - towards in-rem (including towards the other parties to this agreement) - for each construction, if any, and/or act and/or deeds and/or neglects and/or events, of any kind whatsoever, with respect to his/her share in the Property, for all purposes, subject to actual use and legal provisions.
6. Taxes, mandatory payments and expenses
6.1. Each party shall bear all taxes, as well as municipal and government payments, and any other mandatory payments of any kind whatsoever, including any expenses arising from the ownership and/or usage and/or possession, in regards to his/her Apartment and the rest of his/her share of the Property.
6.2. Each party shall bear, according to his/her proportionate share in the Property, any expenses required in connection with the renovation of the Building, including its enforcement.
6.3. The parties agree that, if the division of Apartments 14-15 into 2 separate Apartments will be possible, then they shall assign the entire rights in one of the Apartments to each of the parties 1 and 2, so that party 1 shall be the owner of the entire rights in one of the Apartments 14 or 15 and party 2 shall be the owner of the entire rights in one of the Apartments 14 or 15, and the division of the Apartments between the abovementioned parties shall be performed by conducting a raffle between them. In respect of the said division in this sub-section, any balance payments between the parties shall not apply, since the Apartments are of equivalent value and their division is consistent with the ratio between the parties’ share in the above units.
The parties agree that all expenses associated with the modification of the permit for the division of the Apartments, and their actual split so that each one of them shall become a habitable apartment - shall apply to the abovementioned parties 1 and 2, in equal share.
6.4. It is hereby clarified that this agreement was executed without having one party pay the other or receive any compensation from the other for their obligations under this agreement.
7. Violation of rights
Each party undertakes not to perform any act which may violate the rights of the other party, and not to allow another to do so.
8. Dissolution of the shared ownership
8.1. Neither Party may apply to the court in request for dissolution of the shared ownership of the Property, other than by the manner prescribed in this agreement.
8.2. The dissolution of the shared ownership of the Property shall be performed solely by means of its registration as a condominium in the Condominium Register, in which case the parties shall have the same rights and obligations they have under this agreement, mutatis mutandis, and the following provisions shall also apply:
8.2.1. Each party shall own the Property share assigned to him/her under this agreement.
8.2.2. Existing and/or future construction rights shall be assigned to the parties according to their relative share in the Property.
9. Validity of the agreement
9.1. This agreement shall oblige the parties, their successors, their representatives and all who purchases and/or inherits their rights or part of their rights in the future for all purposes and in all circumstances, without any need to obtain their consent.
9.2. Each party undertakes that in the event that his/her whole rights to the Property, or part of them, shall be transferred/sold prior to the amendment of the Registration Of Condominium Order, in a manner that is consistent with this agreement, he/she shall see to it that the transferee/ purchaser of the rights will sign the shared ownership agreement, and that he/she will include in the transferring/sale rights agreement an obligation from the transferee/purchaser to sign this shared ownership agreement and accept its provisions.
10. Power of Attorney
The parties will sign an irrevocable power of attorney authorizing the attorneys from Aviva Rotter & Co. law firm and/or Attorneys Ron Marcus and/or Amnon Marcus, to perform in their name and on their behalf the actions and sign the documents, as required, for the implementation of this agreement.
11. The agreement and its modifications
11.1. Any modification in this agreement and its provisions shall be performed solely by mutual consent and in writing, and in the event that this agreement is registered at the Land Registry Bureau - any such modifications shall also require registration at the Land Registry Bureau.
11.2. The existence of this agreement and/or its instructions shall not limit and/ or prevent in any way the right for any party to regulate the internal relations between its individuals through an additional shared ownership agreement, provided that the additional shared ownership agreement will be subject to the provisions of this shared ownership agreement and would not contradict them.
12. Consideration and taxes
12.1. It is hereby clarified that this agreement was executed without having one party pay the other or receive any compensation from the other in exchange for their obligations under this agreement, and this is due to the fact that the assignment of the Apartments to the parties was performed in accordance with their respective share in the Property.
12.2. It is therefore stated in this section that the transaction is exempted from the payment of Betterment Tax and Purchase Tax and the parties shall report this agreement to the tax authorities for receiving certificates of approval for the registration of the Property in the Condominium Register.
13. General
13.1. The parties hereby sign this agreement after having read its content, understood all its terms and agreed to fulfill it as it is.
13.2. The parties hereby undertake to sign all documents to which their signatures are required, in order to carry out their obligations under this agreement, immediately after they are requested to do so by any of the parties or by their authorized representative.
13.3. The provisions of this agreement shall apply to the relations between the parties and it supersedes any agreement and/or representation between the parties prior to its signing. There shall not be any validity to any modification, waiver, extension, alteration of this contract or its conditions and/or its appendices and/or annulment and/or addition to this agreement, unless in writing and signed by all parties.
13.4. The provisions of the Contracts Act (Remedies for Breach of Contract) 1971 shall apply to this agreement.
14. Notices and Jurisdiction
14.1. Any notice sent by one party to the other shall be considered as delivered within 72 hours from the time of its delivery as registered mail.
14.2. The Parties agree that all disputes and conflicts which may erupt between the parties, with respect to the provisions of this agreement, and/or those arising from it, shall be referred to arbitration to attorney Amnon Marcus, and if no agreement is reached, then it will be brought for ruling by the competent court in Tel Aviv - Jaffa, which will have the exclusive jurisdiction to hear any claim related to this agreement.
The arbitrator shall not be subject to substantive law, shall be obliged to elaborate the reasons for his ruling and shall be obliged to conduct a protocol, but will not be subject to the evidence law.
Signing this agreement by the parties is the same as signing a duly valid arbitration agreement.
