Premessa
Il bilancio chiuso al 31/12/2011, di cui la presente nota integrativa costituisce parte integrante ai sensi dell'art. 2423, comma 1 del Codice Civile, corrisponde alle risultanze delle scritture contabili regolarmente tenute ed è redatto conformemente agli articoli 2423, 2423 ter, 2424, 2424 bis, 2425, 2425 bis del Codice Civile, secondo principi di redazione conformi a quanto stabilito dall'art. 2423 bis, comma 1 Codice Civile e criteri di valutazione di cui all'art. 2426 Codice Civile.
Il bilancio del presente esercizio è stato redatto in forma abbreviata in conformità alle disposizioni di cui all'art. 2435 - bis del Codice Civile, in quanto ricorrono i presupposti previsti dal comma 1 del predetto articolo. Conseguentemente, nella presente nota integrativa si omettono le indicazioni previste dal n.10 dell'art. 2426 e dai numeri 2), 3), 7), 9), 10), 12), 13), 14), 15), 16) e 17) dell'art. 2427, nonchè dal n.1) del comma 1 dell'art.2427 - bis del Codice Civile.
Inoltre, la presente nota integrativa riporta le informazioni richieste dai numeri 3) e 4) dell'art. 2428 Codice Civile. e, pertanto, non si è provveduto a redigere la relazione sulla gestione ai sensi dell'art. 2435 - bis, comma 7 del Codice Civile.
I criteri di valutazione di cui all'art 2426 Codice Civile sono conformi a quelli utilizzati nella redazione del bilancio del precedente esercizio; non si sono verificati casi eccezionali che abbiano reso necessario il ricorso a deroghe di cui agli artt. 2423 bis, secondo comma e 2423, quarto comma del Codice Civile.
Ove applicabili sono stati, altresì, osservati i principi e le raccomandazioni pubblicati dagli organi professionali competenti in materia contabile, al fine di dare una rappresentazione veritiera e corretta della situazione patrimoniale, finanziaria ed economica.
Le voci dell'Attivo e del Passivo appartenenti a più voci dello Stato Patrimoniale sono specificatamente richiamate.
Criteri di redazione
Conformemente al disposto dall'articolo 2423 bis del Codice Civile, nella redazione del bilancio si è provveduto a:
valutare le singole voci secondo prudenza, in previsione di una normale continuità aziendale e tenendo conto della funzione economica dell'elemento dell'attivo o del passivo considerato;
includere i soli utili effettivamente realizzati nel corso dell'esercizio;
determinare i proventi ed i costi nel rispetto della competenza temporale ed indipendentemente dalla loro manifestazione finanziaria;
comprendere tutti i rischi e le perdite di competenza, anche se divenuti noti dopo la conclusione dell'esercizio;
considerare distintamente, ai fini della relativa valutazione, gli elementi eterogenei inclusi nelle varie voci del bilancio;
mantenere immutati i criteri di valutazione adottati rispetto al precedente esercizio.
Criteri di valutazione
I criteri applicati nella valutazione delle voci di bilancio, esposti di seguito, sono conformi a quanto disposto dall'art. 2426 del Codice Civile.
Immobilizzazioni immateriali
Le immobilizzazioni immateriali sono iscritte al costo di acquisto o di produzione interna, inclusi tutti gli oneri accessori di diretta imputazione, e sono sistematicamente ammortizzate in quote costanti in relazione alla residua possibilità di utilizzazione del bene, con indicazione in forma esplicita degli ammortamenti e delle svalutazioni effettuate.
In particolare:
-le spese di impianto (costituzione e modifiche statutarie) sono ammortizzate in cinque anni
- le spese di ricerca e sviluppo sono ammortizzate in due/cinque anni
- i diritti di brevetto e le opere dell'ingegno sono ammortizzati in cinque anni
- le spese su beni di terzi sono ammortizzate in base alla durata del contratto di locazione
- i costi pluriennali sono ammortizzati in cinque anni.
Le immobilizzazioni, il cui valore alla data di chiusura dell'esercizio risulti durevolmente inferiore al residuo costo da ammortizzare, sono iscritte a tale minor valore; questo non è mantenuto se nei successivi esercizi vengono meno le ragioni della rettifica effettuata.
Relativamente ai costi di impianto e di ricerca e sviluppo, in osservanza del'art. 2426 Codice Civile, si potranno effettuare distribuzioni di utili soltanto se risulteranno in bilancio riserve per un ammontare di € 2.400,00, pari al valore non ancora ammortizzato dei predetti costi.
Immobilizzazioni materiali
Le immobilizzazioni materiali sono iscritte al costo di acquisto o di produzione, inclusi tutti i costi e gli oneri accessori di diretta imputazione e con indicazione in forma esplicita degli ammortamenti e delle svalutazioni effettuate.
Nessun cespite é stato oggetto di rivalutazione.
Il costo delle immobilizzazioni, la cui utilizzazione è limitata nel tempo, è sistematicamente ammortizzato in ogni esercizio sulla base di aliquote economico-tecniche determinate in relazione alla residua possibilità di utilizzazione.
Sono state applicate le seguenti aliquote, che rispecchiano il risultato dei piani di ammortamento tecnici, confermate dalla realtà aziendale e ridotte del 50% in caso di acquisizioni nell'esercizio, in quanto ritenute rappresentative dell'effettivo deperimento:
Impianti e macchinari: 10%
Attrezzature: 25%
Altri beni:
mobili e arredi: 12%
macchine ufficio elettroniche: 20%
autoveicoli: 20%
Le immobilizzazioni, il cui valore alla data di chiusura dell'esercizio risulti durevolmente inferiore al residuo costo da ammortizzare, sono iscritte a tale minor valore.
Beni in leasing
Non esistono beni acquistati in leasing.
Immobilizzazioni finanziarie
Le partecipazioni sono valutate con il metodo del costo, coincidente con il prezzo di acquisto.
Il costo viene ridotto per perdite durevoli di valore nel caso in cui le partecipate abbiano sostenuto perdite e non siano prevedibili, nell'immediato futuro, utili di entità tale da assorbirle; se negli esercizi successivi vengono meno le motivazioni della svalutazione, il costo originario viene ripristinato.
Rimanenze
Le rimanenze sono iscritte al minor valore tra il costo di acquisto, comprensivo di tutti i costi ed oneri accessori di diretta imputazione ed il presumibile valore di realizzo desumibile dall'andamento del mercato; in particolare:
le materie prime sono valutate applicando l'ulimo costo di acquisto;
i prodotti in corso di lavorazione sono iscritti in base ai costi sostenuti in relazione alla fase di lavorazione raggiunta alla data di chiusura dell'esercizio;
i prodotti finiti sono iscritti sulla base dei costi diretti sostenuti per la loro produzione.
Crediti
I crediti dell'attivo circolante sono iscritti al valore di presunto realizzo. Detto valore è stato determinato rettificando il valore nominale dei crediti esistenti in modo da tenere conto di tutti i rischi di mancato realizzo.
Le attività per imposte anticipate, connesse alle differenze temporanee deducibili, sono state rilevate - in aderenza al principio generale della prudenza - in presenza di ragionevole certezza della possibilità di recuperare negli esercizi futuri il relativo beneficio.
Disponibilità liquide
Le disponibilità liquide sono esposte al loro valore nominale.
Ratei e risconti
I ratei e i risconti sono stati iscritti sulla base del principio della competenza economica.
TFR
Il trattamento di fine rapporto di lavoro subordinato è iscritto nel rispetto di quanto previsto dalla normativa vigente e corrisponde all’effettivo impegno della Società nei confronti dei singoli dipendenti alla data di chiusura del bilancio, dedotte le anticipazioni corrisposte.
Debiti
I debiti sono indicati tra le passività in base al loro valore nominale.
Valori in valuta
Non esistono poste espresse in valuta.
Impegni, garanzie e rischi
Non esistono impegni nè garanzie a carico della Società.
Ricavi
I ricavi per vendite di prodotti sono riconosciuti al momento del trasferimento della proprietà, che solitamente coincide con la consegna o la spedizione dei beni.
I ricavi per prestazioni di servizi sono riconosciuti al momento del completamento della prestazione, come stabilito dai relativi contratti.
I ricavi di natura finanziaria vengono riconosciuti in base alla competenza temporale.
Costi
I costi e le spese sono contabilizzati seguendo il principio della competenza.
Imposte sul reddito dell'esercizio
Le imposte correnti sono state determinate in relazione al reddito imponibile e stanziate sulla base di una realistica previsione degli oneri di imposta da assolvere, in applicazione della vigente normativa fiscale.
Inoltre, sono state stanziate le imposte anticipate relativamente alle differenze temporanee deducibili negli esercizi futuri.
Altre Informazioni
Gestione dei rischi finanziari
Nell'esercizio, la Società:
- non ha posto in essere operazioni in strumenti finanziari derivati
- non ha effettuato operazioni che prevedono l'obbligo di retrocessione
- non ha emesso strumenti finanziari propri.
Quote proprie e azioni/quote di società controllanti
In adempimento a quanto previsto dall'art. 2435 - bis, comma 7 del Codice Civile, si forniscono le informazioni richieste dall'art. 2428, comma 2, punti 3) e 4) Codice Civile:
- la Società non possiede quote proprie né azioni/quote di società controllanti
- la Società non ha acquistato né alienato nell'esercizio quote proprie né azioni/quote di società controllanti.

Drawn up in the Abbreviated Form in Accordance with Article 2435-bis of the Civil Code
Foreword
The Financial Statements for the year ended 31/12/2011, which these Notes to the Financial Statements are an essential part of in accordance with the first paragraph of Article 2423 of the Civil Code, present the results of duly kept bookkeeping entries. They have been drawn up in conformity with Articles 2423, 2423-ter, 2424, 2424-bis, 2425 and 2425-bis of the Civil Code, according to the principles for drawing up the balance sheet established by paragraph 1 of Article 2423-bis of the Civil Code and to the valuation criteria set forth in Article 2426 of the Civil Code.
The Financial Statements for this year have been drawn up in the abbreviated form in conformity with Article 2435-bis of the Civil Code, as the Company meets the requirements defined in the first paragraph of said Article. As a consequence, in these Notes to the Financial Statements the information required by point 10 of Article 2426 and points 2, 3, 7, 9, 10 and 12 - 17 of Article 2427, as well as by point 1 of the first paragraph of Article 2427-bis of the Civil Code, has been omitted.
Moreover, since these Notes to the Financial Statements contain the information required by points 3 and 4 of Article 2428 of the Civil Code, the Management Report regulated by paragraph 6 of Article 2435-bis of the Civil Code was not drawn up.
The valuation criteria, as set forth in Article 2426 of the Civil Code, are the same as those used to draw up the Financial Statements for the previous year; no exceptional circumstances occurred compelling the Company to have recourse to the waivers established in paragraph 2 of Article 2423-bis and paragraph 4 of Article 2423 of the Civil Code.
The principles and recommendations published by the competent professional accounting bodies have been followed, when applicable, in order to present a truthful and accurate picture of the Balance Sheet and of the Profit and Loss Account.
Items stated under Assets and Liabilities belonging to several items of the Balance Sheet have been specifically cited.
Drawing – Up Criteria
Conforming to the provisions contained in Article 2423-bis of the Civil Code, the Financial Statements were drawn up based on the following principles:
Individual items have been valued according to the prudence criterion, with a view to the normal continuation of the Company, and taking into account the economic function of the considered Assets and Liabilities item;
only profits actually earned during the year have been included;
income and costs were calculated with respect to accountancy on an accrual basis, regardless of the time of their financial manifestation;
all risks and losses belonging to the year on an accrual basis have been recorded, even if they became known after the end of the year;
miscellaneous elements included in various items of the Financial Statements have been considered distinctly in order to be valued;
the valuation criteria have not been changed with respect to the previous year.
Criteri di valutazione
The criteria used for the valuation of the Financial Statements items shown below comply to the provisions contained in Article 2426 of the Civil Code.
Intangible Fixed Assets
Intangible fixed assets have been entered at their acquisition cost or internal production cost, including all directly imputed additional charges, and are systematically amortized using the straight-line method in connection with the possible remaining useful life of the asset, with an explicit indication of the amortizations and devaluations carried out.
In particular:
- incorporation expenses (incorporation and modification of the articles of incorporation) are amortized in five years
- research and development expenses are amortized in two/five years
- industrial patents and intellectual property rights are amortized in five years
- expenses for assets belonging to third parties are amortized according to the duration of the rent;
- multi – year costs are amortized in five years.
Fixed assets, whose value at the end of the financial year is enduringly lower than the residual cost to amortize, are entered at such lower value; this is not to be maintained if the reasons that caused the adjustment disappear in the subsequent financial years.
As regards incorporation costs and research and development costs, complying to Article 2426 of the Civil Code, profit sharing will only be possible if the Financial Statements show reserves amounting to € 2.400,00, i.e. equivalent to the unamortized value of the mentioned costs.
Tangible Fixed Assets
Tangible fixed assets have been entered at their acquisition cost or production cost, including all directly imputed additional costs and charges, with an explicit indication of the amortizations and devaluations carried out.
No assets have been subject to revaluation.
The cost of fixed assets, whose utilization is limited in time, is systematically amortized at the end of each financial year according to economical – technical rates, which are determined in connection with the residual possibility of utilization of those assets.
The following rates have been applied. They adhere to the result of technical amortization schedules and are confirmed by the Company’s experience; they have been reduced by 50% in the case that acquisitions have taken place during the financial year, as they are deemed to faithfully represent the actual deterioration of assets:
Plants and machinery: 10%
Industrial and commercial equipment: 25%
Other assets:
Furniture and fixtures: 12%
Electronic office machines: 20%
Motor vehicles: 20%
Fixed assets, whose value at the end of the financial year is enduringly lower than the residual cost to amortize, are entered at such lower value.
Leased assets
No assets are used through a lease contract.
Financial Fixed Assets
Shares in other companies are valued based on their cost, which corresponds to the acquisition price.
A cost reduction due to enduring value loss is carried out in the case that the company undergoes losses and in the immediate future there are no foreseeable profits which can recover them; if the reasons of the devaluation disappear in the following financial years, the original cost will be re-established.
Inventories
Inventories have been entered at the lesser value between the acquisition cost, comprising all directly imputed additional costs and charges, and the expected break-up value deducible from the market trend. Specifically:
raw materials have been valued by applying the last acquisition cost method;
work in progress has been recorded based on the expenses incurred with respect to the working phase reached within the relevant financial year;
finished goods have been entered according to the direct costs incurred for their production.
Receivables
Receivables recorded under Current Assets have been entered at their expected break-up value. Said value has been calculated by adjusting the nominal value of outstanding receivables in order to take into account all non-liquidation risks.
Conforming to the general principle of prudence, assets corresponding to taxes paid in advance, connected with deductible temporary differences, have been entered as long as it is reasonably certain that the relative benefit will be recovered in the subsequent financial years.
Liquid Funds
Liquid funds have been recorded at their nominal value.
Accrued Income and Prepaid Expenses
Accrued income and prepaid expenses have been entered on an accrual basis.
Reserve for Employee Termination Indemnities
The reserve for Employee Termination Indemnities has been recorded in obedience to the provisions of law in force and corresponds to the Company’s actual economic commitment to individual employees at the closing date of the Financial Statements, after deducting any advances paid.
Payables
Payables have been stated under Liabilities, based on their nominal value.
Values in Foreign Currency
During the year there were no operations in foreign currency.
Commitments, Guarantees and Risks
The Company did not undertake any commitments, nor did it grant any guarantees.
Revenues
Revenues due to the sale of products are recorded at the moment of property transfer, which usually coincides with the delivery or shipping of the goods.
Revenues due to the sale of services are recorded at the moment in which the performance is completed, as specified by the relative contracts.
Financial revenues are recorded based on temporal criteria.
Costs
Costs and expenses are entered on an accrual basis.
Income Taxes
Current income taxes have been estimated with regard to the taxable income and allocated at their realistic expected value, according to the fiscal law in force.
Moreover, taxes paid in advance have been allocated in connection with the temporary differences deductible in the future financial years.
Other Information
Management of Financial Risks
During this financial year, the Company:
- has not carried out any operation by derivatives
- has not carried out any operation which included a reconveyance commitment
- has not floated financial instruments of its own.
Own Shares and Controlling Companies’ Shares
Abiding by the dispositions of paragraph 7 of Article 2435-bis of the Civil Code, the information required by paragraph 2, points 3 and 4, of Article 2428 of the Civil Code is provided below:
- The Company does not own either shares of itself or shares of Controlling Companies
- The Company has neither purchased nor alienated either shares of itself or shares of Controlling Companies.
