French term or phrase: incompatibilités d'échéances
This is from the Board of Directors section of Articles of Association.

I think it means inability to pay debts when due (i.e. insolvency) but this is a form of wording that I haven't seen before.

Asker: Problem with your answer is that there are two concepts and "legal disqualifications" is already in the paragraph. I woulkd have thought this second concept is better translated as "stautory disqualifications" however

... si elle est sous le coup des incompatibilités d'échéances ou interdiction légales : if such person is subject to barring legal disabilities (usually for a few years in most countries / 10 in the UK) or statutory disqualification(s).

Renotarisation in English of Swiss (?) - notarised Articles of Association is going to be a problem if to be certified as a 'true and faithful' translation of the original. Our London office notaries would refuse to attest an improved version, even with ST typos corrected.

In fact, Chris, I agree with Conor and 'do' indeed believe he has well identified the French typos, but which - for the reason mentioned of (re-)certifying as a 'true' translation - would be a notarially fraught business correcting.

  • his section allows the SEC, for the first time, to issue officer and director bars directly as part of a cease-and-desist proceeding, thereby eliminating the requirement that the SEC go through a federal court.
