1. Neither Party may assign or grant a security interest in any of its rights or
delegate any of its obligations under this Agreement to a third party without the
prior written consent of the other Party. Any purported assignment/grant of
security interest/delegation made in violation of this provision shall be null and
void.
2.Subject to the restrictions on assignment contained herein, this Agreement shall
inure to the benefit and be binding upon the Parties and their respective
successors and assigns
