Natomiast nabrałem wątpliwości, gdyż na końcu zdania jest

directly or indirectly, by reason of his being or ***** having been***** a Director or officer or as a result of his serving or ****having served**** with respect to any such employee benefit plan.


co sugeruje raczej czas przeszły.

Ja to widzicie?

też myślę, że chodzi o czas przyszły; raczej nie chronimy nikogo a tym bardziej nie zwalniamy z odpowiedzialności z datą wsteczną:) (chociaż niektórzy pewnie o tym marzą:))

Moim zdaniem najpierw czas przyszły, czyli zapewniamy ochronę każdemu, kto pełni albo będzie pełnić daną funkcję, a ta ochrona będzie odnosić się do JUŻ PEŁNIONEJ funkcji, a więc na końcu już czas przeszły.

Tak w ogóle to niezłe zdanie :)
