WHEREAS, Recipient is in discussions with XXX regarding the merchandising, creation of artwork, retail programs and promotions in connection with the Properties (as defined in the attached letter), pursuant to which XXX shall grant you a license to reproduce certain intellectual property of ours, our affiliates, and/or our/their respective licensor(s) (Licensed Material) on: (i) branded physical point-of-sale materials (POS), and (ii) digital materials (Digital Material), related to the promotion of licensed consumer products related to the Properties (Licensed Merchandise).
