Estoy traduciendo un documento de una Corporation de USA y el título es "Statement of Written Consent to Action by the Directors of XX Corp." El documento luego dice "In lieu of a special meeting of the Directors of xx, the undersigned, being the Secretary of the Corporation, does hereby consent to the adoption of, and do hereby adopt the following: WHEREAS, the Directors hereby announce the issuance of a Power of Attorney as follows (...).
No me queda claro que se quiere decir por la frase "Statement of writen consent to action by".

The statement giving power of attorney is signed by the directors (or by the secretary in their name). I hope I've explained the "by".(por o en el nombre de)
