disagree Karen Haggerty : "Board of Directors" is correct. However, "Board of Auditors" is not the term usually used for "Conselho Fiscal"--it is Finance Committee.

disagree BLR : The purpose of the Conselho Fiscal is to supervise/oversee the performance of the Board, with emphasis on financial matters. Auditing, on the other hand, is conducted by an internal Audit Committee and an independent firm of outside auditors.

Executive Board (Board of Executive Officers) / Fiscal Council (or Committee)

The former (Conselho Diretor) is a confusing term, because in Brazil the Conselho de Administração was really intended to be a Supervisory Board (following the northern European tradition), whose purpose is to oversee (on behalf of the shareholders) the performance of the Diretoria (Executive Board), which actually runs the company. But Brazilian business is increasingly in thrall to US practices, even though they lack the same degree of checks and balances (or perhaps because they do) and prefer to call the Conselho their Board of Directors (despite rarely having any directors as members). The actual directors, who are tasked with running the company, sit on the Executive Board, but there is a worrying trend for members to also sit on the Supervisory Board and even for the CEO to assume the post of chairperson of that body.
That's where the Fiscal Council comes in, as the members are independant of the company (at least not employed by it) and tasked with keeping an eye on the Board of Directors and particularly the financial aspects of their administration. It is 'fiscal' in the sense of 'fiscalização' (inspection/oversight) and nothing to do with taxes.
